By accessing or using ContentFlight ("we," "us," "our," or the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and organizations. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2) Description of Service

ContentFlight is a web-based platform that enables teams to:

• Create, organize, and manage content assets (videos, images, documents, transcripts)
• Generate social media posts using AI-powered tools and Voice Signatures
• Schedule and publish content to multiple social media platforms
• Track analytics and performance metrics for published content
• Collaborate with team members through workspaces, approval workflows, and role-based access
• Create Voice Signatures from documents, transcripts, or guided interviews to personalize AI-generated content

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3) User Accounts and Responsibilities

A. Account Creation

• You must provide accurate, current, and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account
• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service

B. Workspace Management

• Workspace owners are responsible for managing team members, roles, and permissions
• Workspace owners are responsible for all content and activities within their workspace
• Team members must comply with their workspace's policies and guidelines

C. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate any third-party rights, including intellectual property, privacy, or publicity rights
• Upload, publish, or transmit content that is defamatory, harassing, abusive, obscene, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks
• Use automated systems (bots, scrapers) to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove any copyright, trademark, or other proprietary notices from the Service

4) Content and Intellectual Property

A. Your Content

You retain all ownership rights to content you create, upload, or submit through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display Your Content as necessary to provide the Service
• Use Your Content to generate AI-powered content suggestions and Voice Signatures
• Publish Your Content to third-party social media platforms as you direct through the Service
• Create backups and maintain the Service's functionality

B. Voice Signatures

When you create a Voice Signature, you grant us permission to analyze the provided content (documents, transcripts, interviews) to generate a personalized AI model that reflects your communication style. Voice Signatures are used solely to generate content suggestions within the Service and are not shared with third parties except as necessary to provide the Service.

C. Our Content

The Service, including its design, features, functionality, and all content we create (excluding Your Content), is owned by ContentFlight and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

D. Third-Party Content

The Service may contain content from third parties, including social media platforms. Such content is the property of its respective owners and is subject to their terms and conditions.

5) Third-Party Integrations

A. Social Media Platform Integrations

The Service integrates with various social media platforms to publish content and retrieve analytics. By connecting your social media accounts:

• You authorize us to access your social media accounts according to the permissions you grant
• You agree to comply with each platform's Terms of Service and Community Guidelines
• You understand that we are not responsible for any platform's services, availability, or policies
• You may disconnect any connected account at any time through the Service or the platform's settings
• Each platform integration is subject to that platform's API terms and rate limits

B. Other Third-Party Services

The Service may use other third-party services (e.g., AI providers, transcription services, payment processors). Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or practices of third-party services.

6) AI-Powered Features

The Service includes AI-powered features such as content generation, transcription, and Voice Signature creation. You acknowledge that:

• AI-generated content is provided for assistance only and may require review and editing
• You are responsible for all content published through the Service, including AI-generated content
• AI features may not always produce accurate or appropriate results
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You should review and verify all AI-generated content before publishing

7) Payment and Subscriptions

A. Subscription Plans

The Service is offered through subscription plans with different features and pricing. We may offer free trials, promotional pricing, or other special offers. Current pricing and plan details are available on our website.

B. Free Trial

We may offer a free trial period. During the trial, you have access to full features. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be charged according to your selected plan.

C. Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as explicitly stated in these Terms
• We reserve the right to change our pricing with 30 days' notice
• If payment fails, we may suspend or terminate your access to the Service
• You are responsible for any taxes applicable to your subscription

D. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

E. Refunds

We do not provide refunds for partial billing periods or unused portions of subscriptions, except as required by law. If you believe you are entitled to a refund, please contact us at support@contentflight.io.

8) Termination

A. By You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings or by contacting us.

B. By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• You fail to pay applicable fees
• We suspect fraudulent, abusive, or illegal activity
• We are required to do so by law
• We discontinue the Service

C. Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete Your Content after a reasonable period following termination. You are responsible for exporting any content you wish to retain before termination.

9) Disclaimers and Limitations of Liability

A. Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

B. Content Accuracy

We do not warrant the accuracy, completeness, or usefulness of any content on the Service, including AI-generated content, analytics, or third-party data. You use all content at your own risk.

C. Third-Party Platforms

We are not responsible for content published to third-party social media platforms or for any issues arising from your use of third-party platforms. You are solely responsible for ensuring your content complies with each platform's terms and applicable laws.

D. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTENTFLIGHT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

E. Jurisdiction-Specific Terms

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10) Indemnification

You agree to indemnify, defend, and hold harmless ContentFlight and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

11) Dispute Resolution

A. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

B. Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Houston, Texas. You waive any right to a jury trial or to participate in a class action.

C. Exceptions

The arbitration requirement does not apply to claims for injunctive or equitable relief or claims regarding intellectual property rights, which may be brought in any court of competent jurisdiction.

12) General Provisions

A. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ContentFlight regarding the Service and supersede all prior agreements and understandings.

B. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective date" above. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

C. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

D. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

E. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or any rights hereunder without your consent.

F. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or failures of third-party services.
